These Terms of Service (“Terms”) govern your access to and use of the Jarli app and website (together, the “Service”), operated by Wavely Pty Ltd (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
Jarli is an AI-assisted career-transition tool for the Australian market. It helps you build a profile, agree a direction, and work through weekly activities toward a career goal. Jarli’s guidance is generated by artificial intelligence and is general in nature.
You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you confirm that you are. You are responsible for the activity under your account and for keeping your sign-in secure. Tell us promptly at hello@jarli.au if you suspect unauthorised use. You can delete your account at any time (see our account-deletion page).
Jarli provides career guidance only. It is not, and must not be relied on as:
Decisions you make are your own. Where a matter calls for a qualified professional, please consult one.
Jarli is not a crisis or mental-health service and cannot respond to emergencies.
If you are in distress or crisis, or worried about your safety or someone else’s, please reach out now:
Using Jarli does not create a therapeutic, counselling, or clinical relationship of any kind.
Jarli’s responses, plans and activities are generated by artificial intelligence and may be inaccurate, incomplete, or out of date. Jarli also uses AI to make and support decisions about what to offer you next, without a human reviewing each one — we explain this in our Privacy Policy. This output is guidance and support only; it is not a professional, legal, financial, medical, employment or migration decision. You should use your own judgement and verify anything important before acting on it. If you would like a person at Wavely to review how Jarli has handled a matter, contact hello@jarli.au.
Jarli is provided for your own career planning. You agree not to:
We may set reasonable usage limits to keep the Service reliable and to prevent misuse.
You retain ownership of the information you provide (“your content”). You grant us a non-exclusive, worldwide, royalty-free licence to host, use, process and adapt your content for the purpose of operating, securing and improving the Service — including generating your profile, plans and activities, and processing by our overseas AI provider — as described in our Privacy Policy. This licence continues, in de-identified form, for retained de-identified records as described in the Privacy Policy. You are responsible for your content and confirm you have the right to provide it.
The Service, including its software, design, text, and the plans and activities Jarli generates, together with the Jarli name and branding, are owned by or licensed to Wavely Pty Ltd and are protected by intellectual-property laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for your own career planning, in accordance with these Terms. You may use the plans and materials Jarli generates for you for your own personal purposes. All rights not expressly granted are reserved. If you give us feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.
Jarli offers a Free plan and a paid subscription, Jarli Core, priced at AUD $14.99 per month (inclusive of GST where applicable). Prices are shown on the Jarli web app before you purchase.
Payments and merchant of record. Our paid subscriptions are sold and processed by Paddle (Paddle.com Market Limited and its affiliates), who act as the merchant of record. This means Paddle — not Wavely — is the seller for the transaction and is responsible for payment processing, tax collection and remittance, billing support and refunds. Your purchase is also subject to Paddle’s Buyer Terms and Refund Policy.
Where you subscribe. Jarli Core is purchased through the Jarli web app at jarli.au. Our iOS and Android apps do not sell subscriptions or take payment in-app, and we do not use Apple App Store or Google Play in-app billing. A subscription you start on the web applies to your account across all your devices, including the mobile apps.
Auto-renewal. Paid subscriptions automatically renew at the end of each billing period (monthly) at the then-current price, using your chosen payment method, until you cancel. By subscribing, you authorise these recurring charges. We (via Paddle) will issue a receipt for each charge.
Failed payments. If a renewal payment fails, we or Paddle may retry it, and we may suspend or downgrade your access to paid features until payment succeeds.
You can cancel your paid subscription at any time — through the account/billing area on the Jarli web app, or through the Paddle receipt/management link emailed to you. Cancellation takes effect at the end of your current billing period: you keep paid access until then, and you are not charged again after that. Cancelling a subscription does not delete your account; to delete your account and data, see section 2 and our deletion page.
14-day withdrawal. Consistent with Paddle’s Refund Policy, you may request a full refund within 14 days of your initial purchase (and of the first payment of a subscription). Refund requests are handled by Paddle as merchant of record; contact us or use your Paddle receipt to request one.
Australian Consumer Law. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms limits your rights under the ACL. Among other things, you are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage; and you are entitled to have problems with a service that is not of acceptable quality remedied, and to a refund if the failure is major. These rights apply in addition to the 14-day withdrawal right above.
Except as required by the ACL or Paddle’s Refund Policy, subscription fees are otherwise non-refundable for partial periods.
We may change our plans, features, or prices. If we change the price of a subscription you hold, or make a material change to what a paid plan includes, we will give you reasonable advance notice, and the change will take effect at your next renewal. If you do not agree to a price or plan change, you can cancel before it takes effect (section 10). Continuing your subscription after the change takes effect means you accept the new price or plan.
Jarli is offered during a pilot and is being actively developed. Features may change, be added, or be removed, and the Service may occasionally be unavailable for maintenance or for reasons beyond our control. We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Where we make a material adverse change to a paid plan you hold, section 12 applies.
You can stop using the Service and delete your account at any time. We may suspend or terminate your access, with notice where reasonably practicable, if you materially or repeatedly breach these Terms, use the Service unlawfully or in a way that risks harm to others or to the Service, or where we are required to by law. Where we terminate without cause, we will refund any prepaid fees for the unused part of your current billing period. Sections that by their nature should survive termination (including sections 7, 8, 11, 17–21) survive.
Jarli relies on, and may link you to, third-party services and materials (including our identity provider, payments provider, AI provider, and external learning resources). We are not responsible for third-party services or content, which are governed by their own terms and privacy policies.
If you download the Jarli app from the Apple App Store or Google Play, your use is also subject to that store’s terms, and the following apply. The mobile apps do not offer in-app purchases; paid subscriptions are available only on the web (section 9).
These Terms are between you and Wavely Pty Ltd only, not Apple. Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app. To the maximum extent permitted by law, Apple has no warranty obligation for the app, and any claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to any warranty are our responsibility, not Apple’s. Apple is not responsible for addressing any claims by you or a third party relating to the app, including product-liability, regulatory, or intellectual-property claims. You must comply with the Apple Media Services / App Store Terms and confirm you are not in a US-embargoed country or on a prohibited-parties list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Your use of the app must comply with the Google Play Terms of Service. The app does not sell subscriptions or digital products through Google Play in-app billing; Jarli Core is purchased separately on the web (section 9), so Google Play’s payment and refund terms do not apply to it.
Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded (your “non-excludable rights”).
Subject to your non-excludable rights, and to the maximum extent permitted by law: the Service and its AI-generated guidance are provided “as is” and “as available”, without other warranties; we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, opportunity, or data; and our total liability to you arising out of or in connection with the Service or these Terms is limited, where permitted, to (at our option) resupplying the relevant service or paying the cost of having it resupplied, or to the amount you paid us (or via Paddle) for the Service in the 12 months before the claim. Nothing in this section limits liability that cannot be limited by law.
To the extent permitted by law, and except to the extent caused by us, you agree to indemnify us for reasonably foreseeable loss we suffer arising from your unlawful use of the Service, your breach of these Terms, or your infringement of a third party’s rights. This does not apply to the extent your loss or our loss results from our own breach, negligence, or wrongful act, and does not limit your non-excludable rights.
If you have a concern or dispute, please contact us first at hello@jarli.au — most issues can be resolved quickly and informally. If we cannot resolve it, either of us may pursue available legal avenues. Nothing here prevents you from making a complaint to a relevant regulator (for privacy matters, the OAIC), or from exercising your rights under the Australian Consumer Law. For billing disputes on a paid subscription, you may also contact Paddle as merchant of record.
Changes to these Terms. We may update these Terms to reflect changes to the Service or the law. We will post the updated Terms here with a new “Last updated” date and, where the changes are significant, take reasonable steps to notify you. Continued use after an update means you accept the updated Terms.
Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control.
Assignment. You may not assign these Terms without our consent. We may assign or novate them in connection with a sale, merger or restructure of our business, without reducing your rights.
Severability & waiver. If any provision is found unenforceable, the rest continues in force. Our not enforcing a provision is not a waiver of it.
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service, and supersede prior discussions.
Notices. We may give you notices through the Service or by email to your account address; you can reach us at hello@jarli.au.
These Terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of that State and the Commonwealth of Australia. If you are a consumer, you may also have the benefit of the laws and courts of the place where you live.
